Terms of Service
Please read these Terms of Service (“Terms”) carefully before using the Sitebuildly website (“Site”) and engaging in any transactions with Matthew Carpenter LLC (“Company”). These Terms govern your access to and use of the Sitebuildly services (“Services”). By accessing or using the Services, you agree to be bound by these Terms.
- Acceptance of Terms
1.1 By accessing the Site or using the Services, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, you must not access the Site or use the Services.
1.2 These Terms may be updated or modified by the Company from time to time without notice. The most current version of the Terms will be available on the Site, and your continued use of the Services after any changes constitutes your acceptance of the revised Terms.
- Services
2.1 Sitebuildly offers Websites as a Service, providing website creation, hosting, and maintenance services to customers (“Customers”).
2.2 Sitebuildly offers three website plans: “Monthly,” “Yearly,” and “Lifetime.” The features and pricing of each plan are detailed on the Site. Customers may choose the plan that best suits their requirements.
2.3 Customers who subscribe to any of the Sitebuildly website plans will receive access to the specified features and services for the chosen plan, subject to compliance with these Terms.
- Account Registration and Responsibilities
3.1 In order to access and use the Services, Customers must create an account on the Site. The information provided during registration must be accurate, complete, and up-to-date. Customers are responsible for maintaining the security of their account login credentials and for all activities conducted through their account.
3.2 Customers are responsible for providing the necessary content, including text, images, and other materials, required for the creation and customization of their websites. Customers represent and warrant that they have all necessary rights and permissions to use the content they provide.
3.3 Customers are solely responsible for the accuracy, legality, and appropriateness of the content displayed on their websites. The Company does not endorse or verify the content provided by Customers.
- Payment and Billing
4.1 Customers are required to pay the applicable fees for the chosen website plan. The fees and payment details are specified on the Site. The Company may change the fees and payment terms upon providing reasonable notice to Customers.
4.2 Customers may be charged on a monthly, yearly, or lifetime basis, depending on the selected plan. Payment must be made in advance for the chosen billing period.
4.3 The Company utilizes third-party payment processors to handle the processing of payments. Customers may be subject to the terms and conditions and privacy policies of these payment processors.
4.4 All fees are non-refundable, except as expressly stated in these Terms or as required by applicable law.
- Intellectual Property
5.1 The Company retains all ownership rights, including intellectual property rights, to the Site, Services, and any materials provided by the Company.
5.2 Customers retain ownership rights to the content they provide for their websites. By using the Services, Customers grant the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display the content solely for the purpose of providing the Services.
- Termination
6.1 Customers may terminate their account and subscription to the Services at any time by following the instructions provided on the Site. No refunds will be provided for early termination.
6.2 The Company reserves the right to suspend or terminate a Customer’s account or access to the Services, with or without cause, at any time and without notice. In the event of termination by the Company, the Customer will receive a pro-rata refund for any unused portion of the subscription period.
- Dissolution of Sitebuildly
7.1 In the event that Sitebuildly is dissolved, all existing Customers will be given an opportunity to have their website migrated by the Company to a WordPress-compatible host of their choice, at no additional charge.
7.2 The Company will provide a reasonable timeframe for Customers to request migration of their websites. The specifics of the migration process will be communicated to Customers through email or other means of communication.
7.3 The Company shall not be held liable for any damages, losses, or liabilities arising from the dissolution of Sitebuildly or the migration of websites to other hosting providers.
- Limitation of Liability
8.1 To the maximum extent permitted by applicable law, the Company and its affiliates, officers, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities, arising out of or in connection with the use of the Services.
- Governing Law and Dispute Resolution
9.1 These Terms and any disputes arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of Yakima County, Washington, without regard to its conflict of law provisions.
9.2 Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved through good faith negotiations between the parties. If the parties are unable to resolve the dispute within a reasonable time, either party may initiate legal proceedings in the competent courts of Yakima County, Washington.
- Miscellaneous
10.1 These Terms constitute the entire agreement between the Company and Customers regarding the Services and supersede all prior or contemporaneous agreements, understandings, and representations.
10.2 If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
10.3 The failure of the Company to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
